Terms of Use

Welcome to Employ, the Human Resource Information System (HRIS) developed and provided by Apex Business Solutions & Consultancy Inc. ("Apex," "we," or "us"). These Terms of Use ("Terms") govern your access to and use of Employ, including any related software, applications, features, content, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

  • Acceptance of Terms

    By accessing or using Employ, you affirm that you have read, understood, and agreed to these Terms, and that you are authorized to bind the client organization or entity on whose behalf you access or use the Service. If you do not agree to these Terms, you may not access or use the Service.

  • Description of Employ

    Employ is an in-house Human Resource Information System (HRIS) developed by Apex. It is offered as a software-as-a-service (SaaS) solution for our clients. Employ enables the management, storage, and processing of personal information of employees ("Employee Data") for our clients' human resource and payroll operations.

  • Data Privacy and Security

    We understand the importance of protecting personal information and are committed to maintaining the confidentiality, integrity, and security of Employee Data. We have implemented reasonable technical, administrative, and physical safeguards to protect Employee Data from unauthorized access, disclosure, alteration, or destruction. Employee Data is stored in an encrypted form on our secure online database.

  • Use of Employee Data

    Apex collects and processes Employee Data on behalf of our clients solely for the purpose of providing the Service. Employee Data includes but is not limited to the employee's name, birthday, address, salaries, benefits, and other relevant information necessary for payroll computation and HRIS functionality. Apex will not use Employee Data for any purpose other than as necessary to provide the Service or as required by applicable law.

  • Client Responsibilities

    Clients are responsible for obtaining all necessary consents and complying with all applicable laws and regulations governing the collection, use, and disclosure of Employee Data. Clients are solely responsible for the accuracy, legality, and integrity of the Employee Data they provide or input into Employ. Clients shall ensure that their use of Employ complies with these Terms and all applicable laws and regulations.

  • Intellectual Property

    Apex retains all right, title, and interest in and to Employ, including all intellectual property rights associated with the Service. Clients are granted a limited, non-exclusive, non-transferable, and revocable license to use Employ for their internal human resource and payroll operations during the term of their subscription.

  • Limitation of Liability

    To the extent permitted by applicable law, Apex shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with the use of Employ, even if advised of the possibility of such damages. In no event shall Apex's total liability exceed the fees paid by the client for the Service during the twelve (12) months preceding the claim.

  • Modifications to the Service

    Apex reserves the right to modify, suspend, or discontinue any aspect of the Service at any time without notice. We may also update these Terms from time to time, and any changes will be effective upon posting the revised Terms on our website. Your continued use of Employ after the posting of any revised Terms constitutes your acceptance of such changes.

  • Termination

    Either party may terminate the client's access to Employ at any time for any reason. Upon termination, the client's right to access and use the Service will immediately cease, and Apex shall have no obligation to maintain or provide any Employee Data.

  • Governing Law and Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of Philippines. Any dispute arising out of or relating to these Terms or the use of Employ shall be subject to the exclusive jurisdiction of the courts located in Philippines.

  • Severability

    If any provision of these Terms is found to be unlawful, void, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by applicable law.

  • Entire Agreement

    These Terms constitute the entire agreement between Apex and the client concerning the subject matter herein and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
